End-User License Agreement (EULA)

This End-User License Agreement (“EULA”) is a legal agreement between you, either as an individual or a single entity (“you” or the “End-User”), and Digitaal Toegankelijk BV, a company incorporated under the laws of The Netherlands (“we”, “our”, or “us”), for the use of the Read Easy service, which includes an API, Word Add-in, Outlook Add-in, and a Chrome Extension (collectively referred to as the “Service”).

By installing, copying, or otherwise using the Service, you agree to be bound by the terms and conditions of this EULA. If you do not agree to the terms of this EULA, do not install, copy, or use the Service.

Grant of License

Subject to your compliance with the terms and conditions of this EULA, we hereby grant you a non-exclusive, non-transferable, revocable, limited license to access and use the Service for your personal or internal business purposes. You shall not sublicense, sell, lease, or otherwise transfer the Service to any third party.

Restrictions

You agree not to, and shall not permit any third party to:

Modify, adapt, translate, reverse engineer, decompile, or disassemble the Service, except to the extent that such activity is expressly permitted by applicable law;
Remove any proprietary notices or labels on the Service, including but not limited to, copyright notices;
Use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party’s use and enjoyment of the Service;
Use the Service for any illegal or unauthorized purpose or to engage in any activity that violates any applicable laws or regulations.

Intellectual Property Rights

All title, ownership rights, and intellectual property rights in and to the Service are owned by us or our licensors. The Service is protected by copyright laws, international copyright treaties, and other intellectual property laws and treaties. You acknowledge that you do not acquire any ownership rights in the Service by virtue of this EULA or your use of the Service.

Termination

Without prejudice to any other rights, we may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must immediately cease all use of the Service and destroy all copies of the Service in your possession or control.

Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that the operation of the Service will be uninterrupted or error-free.

Limitation of Liability

In no event shall we be liable for any special, incidental, indirect, consequential, or punitive damages whatsoever (including, without limitation, damages for loss of profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Service, even if we have been advised of the possibility of such damages. In any case, our entire liability under any provision of this EULA shall not exceed the amount actually paid by you for the Service.

Governing Law and Jurisdiction

This EULA shall be governed by and construed in accordance with the laws of The Netherlands, without regard to its conflict of laws principles. Any legal action or proceeding arising under this EULA will be brought exclusively in the courts located in The Netherlands, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

Severability

If any provision of this EULA is held to be invalid, illegal, or unenforceable, the remaining provisions of this EULA shall remain in full force and effect, and the invalid, illegal, or unenforceable provision shall be deemed modified to the least extent necessary to render it valid, legal, and enforceable.

Entire Agreement

This EULA constitutes the entire agreement between you and us concerning the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, negotiations, representations, and warranties, whether oral or written, with respect to the subject matter hereof.

Amendments

We reserve the right, at our sole discretion, to modify or replace this EULA at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect. By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.
